Terms of Sale & Use

These terms govern the purchase and use of Clowhi for Mac, the official ready-to-run edition of the Clowhi application, sold through this website. Please read them before you buy. By completing a purchase you agree to the version of these terms shown to you at checkout.

1. Who you are buying from

"We", "us" and "the seller" refer to Reconnect Academy BV. "You" refers to the person or business placing the order. Reconnect Academy BV trades in connection with this product as Clowhi / Guerilla Builds.

2. What you are buying

The €49 one-time payment (VAT included) buys the official ready-to-run edition of Clowhi for Mac: a signed and notarized macOS application, together with Clowhi 1.x updates and documentation. There is no mandatory subscription and no recurring charge.

Clowhi for Mac requires macOS 14 or later on Apple Silicon.

Clowhi is open-source software. The complete source code is available separately under the GNU General Public License, version 3 (GPL-3.0). Your purchase does not change or restrict the rights that licence grants you. What you pay for is convenience: the official packaged, code-signed, notarized, documented and auto-updating build, not exclusive access to the code or its features. See section 7.

3. Price and payment

The displayed consumer price is €49, VAT included. Payment is processed on our behalf by Stripe. We do not receive or store your full card details; those are handled by Stripe. See our Privacy Policy for how payment data is processed.

The applicable invoice and tax treatment depend on your status (consumer or business) and location. For business customers, a valid VAT number can be provided at checkout where supported. A receipt is issued for every order.

4. Delivery

Clowhi for Mac is a digital download. After your payment is confirmed you are taken to a secure download page and the download of the application begins. Delivery is therefore immediate and electronic; no physical item is shipped.

If a download does not start or fails for a technical reason, contact support@guerillabuild.com with the email address you paid with and your Stripe receipt, and we will make the download available to you again.

5. Right of withdrawal and refunds

As a consumer buying at a distance, you normally have a 14-day right of withdrawal. Because Clowhi is digital content delivered immediately, that right can end as soon as the download begins if you have given your express prior consent to immediate delivery and acknowledged that you thereby lose the right of withdrawal.

Consent at checkout

Whether that consent is requested is shown to you at checkout. If checkout asks for your express consent to immediate delivery, in words to the effect of: "I expressly consent to immediate access to the digital download and acknowledge that I lose my right of withdrawal once the download begins", and you give it, your right of withdrawal ends when the download begins. If checkout does not ask for that express consent and acknowledgment, your statutory 14-day right of withdrawal remains fully intact even though delivery is immediate.

Nothing here removes your mandatory statutory rights if the download fails or the software is defective or not as described, and we also offer discretionary goodwill refunds beyond the legal minimum. The full policy, including how to request a refund, is set out in our Refund & Withdrawal Policy.

6. Updates and support

Your purchase includes updates released as part of the Clowhi 1.x series, delivered through the app's built-in updater (Sparkle). It does not include a promise of all future major versions, perpetual feature development, or a guaranteed service level.

Support means reasonable help with download and initial installation. It is not custom consulting and does not carry a guaranteed response time.

7. Open-source licence

Clowhi's source code is published under the GPL-3.0. Anyone may obtain, inspect, run, modify and redistribute it on the terms of that licence. At launch the source is available in the public GitHub repository at github.com/MaydayTM/CloWhi.

Buying Clowhi for Mac does not grant you any rights in the source code beyond those the GPL-3.0 already gives every recipient, and it does not grant rights in our trademarks, the "Clowhi" name, logo, or brand assets. The paid product is the official distribution and the convenience around it, not an additional licence to the code.

8. Support contributions and the iPhone roadmap

Optional "support" contributions offered on our website are voluntary payments that help fund Clowhi's maintenance, non-developer help, and future work. They are not a purchase of Clowhi for Mac and unlock no additional product features. An iPhone app is a conditional, community-backed roadmap goal: it is not part of the Mac purchase and is not guaranteed by any individual contribution. 10. Local processing and optional external services

Clowhi is designed to be local-first. Speech-to-text transcription runs on your Mac, and audio is not sent to us. Optional AI summaries can send transcript text to a third-party AI provider using your own API key (for example your own Anthropic Claude API account). That feature is under your control: you decide whether to enable it and what you submit, and that provider's own terms and privacy policy apply to that processing. See the Privacy Policy for detail.

11. Warranties, conformity and liability

Clowhi is provided with the statutory conformity rights that cannot be excluded under applicable consumer law. Except for those mandatory rights, we do not warrant that the software will meet every use case or run without interruption on unsupported hardware, operating systems or third-party services.

To the fullest extent permitted by law, we are not liable for indirect or consequential loss, lost data, or lost profits arising from the use of Clowhi. Nothing in these terms excludes or limits liability that cannot lawfully be excluded, including liability for intentional misconduct, for death or personal injury caused by negligence, or under mandatory consumer protection law.

12. Governing law and disputes

These terms and any purchase are governed by Belgian law, without depriving you as a consumer of the mandatory protections of the country where you live. If we cannot resolve a complaint directly, disputes fall under the jurisdiction of the courts of the seller's registered office in Belgium, unless mandatory consumer law gives you the right to bring proceedings elsewhere.

13. Changes to these terms

The terms that apply to your order are the version shown and made available to you when you place it. We may update these terms for future orders; changes do not retroactively reduce rights you have already purchased.
